1. Zero-Knowledge Architecture & Your Responsibilities

HighSubmit is built on a Zero-Knowledge Architecture. This is the fundamental basis of our Service.

• You Control Your Keys: Your Master Password and derived cryptographic keys are used to encrypt and decrypt your vault data locally on your device.
• No Recovery: We do not know, store, or transmit your Master Password. If you lose or forget your Master Password, we cannot recover it, and we cannot recover or decrypt your vault data.
• Your Responsibility: You are solely responsible for securely maintaining your Master Password. HighSubmit shall not be liable for any data loss resulting from a forgotten or compromised Master Password.

2. Account Registration and Security

• Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create a Company/Tenant account. Individuals must be at least 13 years old (or 16 in certain jurisdictions) to use the Services.
• Accurate Information: You agree to provide accurate and complete information during registration.
• Account Security: You are responsible for all activities that occur under your account. You agree to use strong security practices, including enabling Two-Factor Authentication (TOTP), to protect your account.
• Company Accounts: If you create a "Company" or "Team" tenant, you represent and warrant that you have the authority to bind that entity to these Terms. You are responsible for the actions of all members you invite to your tenant.

3. Acceptable Use Policy

You agree not to use HighSubmit for any unlawful or prohibited activities. You may not:

• Store, share, or transmit any data that is illegal, defamatory, or infringes on the intellectual property rights of others.
• Use the Services to distribute malware, viruses, or any other malicious code.
• Attempt to breach, probe, or bypass our security measures or rate limits.
• Resell or sublicense the Services without explicit written consent from HighSubmit.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

4. Subscriptions, Billing, and Payments

• Paid Plans: HighSubmit offers Free, Team, and Enterprise plans. By subscribing to a paid plan, you agree to pay all applicable fees.
• Payment Processing: All payments are securely processed by our third-party payment provider (Stripe). We do not store your credit card details.
• Auto-Renewal: Paid subscriptions automatically renew at the end of the billing cycle unless canceled prior to the renewal date.
• Refunds: Unless required by law, all fees paid are non-refundable. You may cancel your subscription at any time, and you will retain access to paid features until the end of your current billing period.
• Coupons/Early Access: Any coupons or promotional credits issued by HighSubmit have no cash value and may be revoked or expire according to the terms of the specific promotion.

5. Intellectual Property

• Our Rights: HighSubmit retains all right, title, and interest in the Services, including all software, design, logos, and trademarks.
• Open Source: Certain components of HighSubmit may be open-sourced under the MIT License. Your use of those specific components is subject to the terms of that license.
• Your Data: You retain all ownership rights to the encrypted data you store within your vault.

6. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, HighSubmit disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide a highly secure platform, we do not guarantee that the Services will be uninterrupted, error-free, or completely immune to unauthorized access (e.g., if your device is compromised by malware).

7. Limitation of Liability

To the maximum extent permitted by law, HighSubmit and its affiliates, directors, or employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the Services.

In no event shall our total liability to you for all claims exceed the amount you paid to HighSubmit in the twelve (12) months preceding the claim.

8. Termination

• By You: You may terminate your account at any time through the dashboard settings. Terminating your account will permanently and irrecoverably delete your encrypted vault data.
• By Us: We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms.

9. Changes to These Terms

We may modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this document. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which HighSubmit is established, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in that jurisdiction.
